§ 1 Rental Object
The following premises are available for rent in the stilwerk Hamburg building:
Forum, 7th floor, 198.02 m² with projector, internet, furniture (chairs + tables), attached restroom facilities, and access to a shared kitchen.
§ 2 Purpose of Rental
(1) The purpose of the rental is specified in the respective offer and invoice.
(2) The tenant agrees to use the rented premises exclusively for the purpose stated in paragraph 1.
(3) Upon request, the landlord will provide the tenant with additional equipment necessary for the planned event in accordance with the provisions of § 5.
§ 3 Permits
(1) The landlord assumes no liability for obtaining any necessary permits, particularly fire safety permits, event licenses, and special permits from the relevant regulatory authorities, nor for the continued validity of any issued permits.
(2) The tenant must provide the landlord with the permits mentioned in paragraph 1 immediately upon receipt, but no later than fourteen days before the planned event.
§ 4 Start of Use
(1) The landlord will grant the tenant access to the rented space for setup and dismantling under the conditions specified in § 5.
(2) The event space must be vacated and returned immediately after the event ends. The tenant must ensure that cleaning work can be carried out during the usual early morning hours of the stilwerk Center.
(3) Setup and dismantling activities must generally be conducted during the stilwerk opening hours without disrupting the operations of other tenants.
(4) Exceptions to the above rules require individual agreement with center management. If setup or dismantling takes place outside of the stilwerk opening hours, center management will provide the necessary keys. These must be returned as agreed, but no later than upon vacating the premises. The tenant must arrange and cover the costs for any additional required security measures, hiring the designated security service.
§ 5 Rental Price and Additional Costs
(1) The rental price and rental period are specified in the offer.
(2) The premises are handed over in good condition and must be returned in the same state. Cleaning and setup/dismantling assistance will be invoiced separately unless otherwise specified in the offer.
(3) Additional equipment or services can be rented upon request from center management. Additional furniture or technical equipment from external providers can also be arranged.
(4) All payments must be transferred to the stilwerk account upon receipt of the invoice.
(5) If the due payments are not received within ten days of invoicing, the tenant is automatically in default. In this case, the landlord is entitled to charge default interest of 2% above the current base interest rate of the European Central Bank.
§ 6 Termination and Withdrawal
(1) Ordinary termination of this lease is not possible. The right to extraordinary termination for good cause remains unaffected. Special provision: Depending on COVID-19 regulations, withdrawal may be possible at any time free of charge.
(2) The landlord may terminate the contract for good cause if the event poses a threat to the smooth operation, security, or reputation of stilwerk.
(3) In the event of extraordinary termination by the landlord, the tenant remains liable for the full rental fee and additional costs, as well as any damages arising from contract termination.
(4) If the tenant withdraws from the contract before the event, the following cancellation fees apply:
- 15 days before the event: 50% of the rental fee
Additionally, the tenant must reimburse any third-party services already commissioned, such as technical services. The landlord will deduct any saved costs.
§ 7 Scope of Use
(1) The use of the rented premises is restricted to activities that do not damage the building's structure or unreasonably interfere with other tenants.
(2) Activities causing dust or smoke that could trigger fire alarms are prohibited unless a special permit from the fire department is obtained.
(3) Technical conditions will be communicated by center management.
§ 8 Event Preparation
(1) Deliveries before the event or before the agreed rental period must be coordinated with center management. If no authorized person is available to receive deliveries, prior arrangements must be made, as the reception desk does not accept shipments.
(2) Setup and dismantling must not obstruct access to hallways, elevators, or staircases.
(3) If setup/dismantling occurs outside business hours, the tenant must hire a security guard at their own expense.
(4) If using audio or microphone equipment, the tenant must ensure that noise levels are minimized, especially during sound checks, and that customers and employees are not disturbed. Forum doors must remain closed during video or audio playback during business hours.
(5) Decorations or other installations require prior approval from center management and must comply with fire safety regulations. Walls must be protected against damage.
§ 9 Event Execution
(1) The tenant is responsible for organizing and financing the event.
(2) The tenant covers additional costs for in-house staff and security measures. For evening events, a security guard must be hired at the tenant’s expense.
(3) The stilwerk logo may only be used with written approval from center management. Advertising must be coordinated with center management.
(4) The tenant is solely responsible for registering and paying GEMA fees for copyrighted music.
(5) Instructions from center management, security, and technical staff must be followed.
§ 10 Return of Rental Object
(1) The tenant must return the premises in a cleaned state. Hiring cleaning services does not release the tenant from this obligation.
(2) The tenant is responsible for waste disposal. Abandoned items will be removed at the tenant’s expense.
§ 11 Warranty
The tenant accepts the rented premises as-is. The landlord provides no guarantee for the suitability of the premises for specific events and is not liable for damages unless caused by gross negligence or willful misconduct.
§ 12 Liability
(1) The tenant is liable for any damages caused by themselves, their agents, or guests.
(2) The tenant indemnifies the landlord against third-party claims unless neither the tenant nor their agents are at fault.
(3) The tenant must prove that they or their agents are not at fault if a claim arises.
§ 13 Written Form and Final Provisions
(1) This contract and any amendments must be in writing. No verbal agreements exist.
(2) If any provision is invalid, the remaining terms remain effective.
(3) The parties agree to replace any invalid provision with one that best reflects its economic purpose.
(4) This contract is governed by German law. The place of jurisdiction, where legally permissible, is Hamburg.
