Terms and Conditions stilwerk Hamburg Foyer Exhibition and Event Space
At the property located at Große Elbstraße 68, 22767 Hamburg, a building complex has been developed, which houses office and garage spaces as well as the stilwerk Hamburg. This concept brings together multiple retailers specializing in high-end interior furnishings, offering their products and services in a coordinated manner under one roof. The foyer located in the basement is temporarily rented out for individual events.
In light of the above, the parties agree as follows:
§ 1 Contract Subject
stilwerk grants the contracting partner the use of an advertising space for exhibition and promotional purposes in the foyer. The contracting partner is aware of the dimensions and condition of the premises.
§ 2 Type of Use
- The foyer (3x4m) at stilwerk Hamburg is used for advertising purposes in the form of an exhibition by the contracting partner or their brand portfolio.
- The contracting partner agrees to use the foyer exclusively for the purpose stated in paragraph 1. They acknowledge that the stilwerk foyer is designed to accommodate a maximum of 500 people and commit to adhering to this limit. Representatives of stilwerk Management and Securitas are authorized to monitor compliance with this limit and, if necessary, restrict further visitor entry.
- The concept and presentation must be reviewed and approved by stilwerk. stilwerk reserves the right to reject any display for aesthetic or other relevant reasons. Additionally, only current products may be shown, no price indications may be displayed, and no discount or reduction notices may be placed.
§ 3 Contract Duration
The contract duration is governed by the offer and invoicing, without the need for a separate termination. This takes place in accordance with the opening hours of the premises. Set-up and dismantling activities must generally occur outside of stilwerk's opening hours. If this is not possible, it must be coordinated with management. In any case, the smooth operation of all center tenants' sales activities must be ensured.
§ 4 Approvals
- stilwerk assumes no liability for obtaining any necessary approvals, particularly fire safety permits, event licenses, and special permits from the relevant economic and regulatory authorities, for the planned exhibition.
- The contracting partner must submit the approvals specified in paragraph 1 to stilwerk immediately upon receipt, but no later than fourteen days before the planned exhibition/event, if the execution of the exhibition without these approvals could have negative consequences (also) for stilwerk.
§ 5 Termination
Ordinary termination of this cooperation agreement before the contract period expires is not possible. The right to extraordinary termination for good cause remains unaffected.
§ 6 Cost Agreement / Payment Terms
As per the offer and invoicing. Additional costs may arise during the exhibition, such as setup and dismantling by the building services (banners, possibly a stage) and cleaning costs, which may be charged based on prior agreement and effort. If the amounts due for the event under paragraph 1 are not credited to stilwerk's specified account within 8 days of invoicing, stilwerk shall automatically be in default. In this case, stilwerk is entitled to charge default interest of 5% above the applicable base interest rate of the European Central Bank.
After the exhibition period ends, the contracting partner must immediately remove all exhibited objects and restore the advertising space to its original condition at their own expense.
§ 7 Scope of Agreement
- The agreement's scope is limited to uses that do not damage the building's structure or unreasonably interfere with other users' activities.
- Actions causing dust or smoke emissions that could trigger the smoke detectors and automatic fire alarm system in the building are strictly prohibited. Exceptions require special approval from the fire department.
- The contracting partner must ensure that noise levels during exhibitions/events with music remain reasonable. Representatives of management and the technical operator of stilwerk are authorized to monitor and enforce compliance.
- The contracting partner must uphold the reputation and security of stilwerk as a high-end design center.
§ 8 Exhibition Preparation
- Deliveries before the exhibition and before the agreed usage start date under § 3 must be coordinated with management. If delivered items cannot be personally received by the contracting partner or a designated third party, the delivery date must be separately coordinated, as stilwerk's customer information desk does not accept deliveries.
- During setup and dismantling in the foyer, all passageways, elevators, stairs, the customer information area, and the restaurant area must remain accessible and unobstructed.
- If setup and dismantling activities occur outside opening hours, a security guard from stilwerk Hamburg's designated security service must be hired at the contracting partner's expense.
- If a CD or microphone system is used for the exhibition/event, the contracting partner must minimize noise emissions, particularly during soundchecks, ensuring minimal disturbance to customers and employees during store opening hours.
- Without prior approval from the center manager, the contracting partner may not affix decorations or other objects to the booked premises. If approved, all decorations must meet fire safety regulations, and walls must be protected from damage (e.g., by using protective coverings).
§ 9 Exhibition Execution
- The contracting partner conducts the planned exhibition as an organizer at their own responsibility and bears all related costs. This applies even if costs and fees are subsequently imposed on the center manager by third parties.
- The stilwerk logo may only be used in the exhibition with prior written approval from the center manager and in an authorized form. Advertising and promotional measures must be coordinated with the center manager.
§ 10 Confidentiality and Good Conduct
Both parties agree not to make critical or derogatory statements about the other party, especially concerning organizational or technical matters, to third parties. This obligation remains in effect even after the agreement ends.
§ 11 Written Form
No verbal side agreements exist for this agreement. Changes and additions to this agreement must be in writing to be valid. A waiver of the written form requirement must also be agreed upon in writing.
§ 12 Severability Clause
Should any provision of this agreement be or become legally invalid, or should this contract contain a gap, the validity of the agreement shall remain unaffected. The contracting parties undertake to replace the invalid provision or fill the gap with a provision that reflects the parties' intent at the time of the contract conclusion.
§ 13 Acceptance of Offer
By accepting the offer through our quotation and invoicing service provider Wix, the contracting partner agrees to this agreement and confirms that they have read and understood it.
